Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Soloist platform ("Platform"), operated by Construct Flow Information Technology FZCO ("Company", "we", "us"), a company registered in the Dubai Silicon Oasis Free Zone, United Arab Emirates.

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Platform Description

Soloist is a multi-tenant software-as-a-service (SaaS) booking platform designed for solo service providers in the UAE. The Platform enables providers to create branded booking pages, manage appointments, collect payments, and communicate with clients through integrated messaging channels.

3. Account Registration

To use the Platform as a service provider, you must create an account and complete the onboarding process. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Payments

Access to the Platform requires a paid subscription. Current pricing tiers are displayed on our website and may be updated from time to time with reasonable notice.

  • Subscriptions are billed monthly in advance in UAE Dirhams (AED).
  • Early access pricing is locked for the first 3 months from the date of subscription activation.
  • After the early access period, your subscription will transition to the standard tier rate unless cancelled.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • No refunds are provided for partial billing periods.

5. Provider Responsibilities

As a service provider on the Platform, you agree to:

  • Provide accurate information about your services, pricing, and availability.
  • Honor confirmed bookings or provide reasonable notice of cancellation to clients.
  • Comply with all applicable UAE laws and regulations governing your profession.
  • Maintain any required professional licenses or permits for your services.
  • Not use the Platform for any unlawful, fraudulent, or harmful purpose.

6. Client Payments and Stripe Connect

The Platform integrates with Stripe to facilitate payment collection from your clients. When you enable payment collection, you agree to Stripe's Connected Account Agreement and applicable terms.

  • Client payments are processed directly into your connected Stripe account.
  • The Platform does not charge any commission or application fee on client transactions processed through the Platform.
  • You are responsible for any refunds, chargebacks, or disputes related to your services.
  • Payment processing is subject to Stripe's terms, fees, and availability.

7. AI Agent Services

Providers on the Growth tier and above may use automated conversational AI to interact with clients on their behalf. You acknowledge that:

  • The AI agent acts on your behalf and you are responsible for its interactions with your clients.
  • AI Safety Mode is available to require your approval before bookings are confirmed.
  • We do not guarantee the AI agent will be error-free or available at all times.
  • You should review AI-generated interactions periodically to ensure accuracy.

8. Intellectual Property

The Platform, including its design, code, features, and documentation, is owned by Construct Flow Information Technology FZCO. You retain ownership of your business content, including service descriptions, images, and client data uploaded to the Platform.

You grant us a limited license to display your business information on your public booking page and in connection with Platform operations.

9. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy. You are responsible for obtaining appropriate consent from your clients before collecting their personal data through the Platform.

10. Limitation of Liability

To the maximum extent permitted by UAE law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Platform.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the 3 months preceding the claim.

11. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees. Upon termination, your access to the Platform will cease and your data will be retained for 30 days before deletion, unless required by law to retain it longer.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be resolved through the courts of Dubai, UAE, unless otherwise agreed in writing.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
